INCORPORATION AND DOMICILIATION SERVICES

The future success of the corporate structure chosen by our clients can be determined by opting for a tax and legal structure that is best suited to their needs. Thanks to its practical experience and privileged relationship with several local and foreign experts, Qualix can advise its clients during the set-up phase of a Luxembourg or foreign corporate structure.

At the request of our clients, we can draw up the articles of incorporation and the proxies required to incorporate the company. Qualix can also coordinate with banks, notaries and other parties and assist with regard to any KYC requirements (a.o. FATCA and CRS) and AML regulations. As an additional service, Qualix can assist its clients in obtaining the required professional/business authorisations.

Domiciliation services

Qualix operates as a domiciliation agent in accordance with the law of 31 May 1999 on the domiciliation of companies.

Qualix provides a comprehensive range of services relating to the administration and management of Luxembourg companies. These services facilitate compliance with all the legal and administrative obligations, such as:

  • Organisation of board of directors’ and shareholders’ meetings;
  • Drafting of the minutes of board of directors’ and shareholders’ meetings;
  • Maintenance of the register of beneficial owners, shareholders and bondholders;
  • Depositary for bearer shares;
  • Maintenance and archiving of company documents and administrative records as stipulated by the law on commercial companies.

Qualix can also provide the following services on request:

  • Provision of a registered address, adequate office space and business facilities, including technical and administrative infrastructures (phone services, secretarial staff, equipped meeting rooms, etc.);
  • Recruitment of qualified staff and provision of office facilities (computer, phone and fax lines, printer, email addresses, etc.);
  • Provision of independent company directors.

Lastly, Qualix can provide assistance during the liquidation and dissolution of Luxembourg companies.


ACCOUNTING SERVICES

As Chartered Accountant and member of the Luxembourg Ordre des Experts Comptables, Qualix provides companies with a large range of services:

  • Organisation and implementation of accounting systems;
  • Determination of appropriate accounting policies;
  • Company accounting and preparation of financial reports;
  • Preparation of annual financial statements, periodic reportings and, where necessary, coordination with the auditors;
  • Filing of annual accounts with the Trade and Companies Register;
  • Diagnosis and analysis of the financial results and performance of companies through substantiated analysis reports.

TAX SERVICES

Thanks to its proven expertise, Qualix provides a wide range of tax services in the areas of:

  • Tax advice (direct taxes and VAT) regarding the activities carried out by Luxembourg and foreign companies;
  • Luxembourg tax structuring for foreign investments, carried out in close collaboration with foreign advisors and including planning in respect of real estate, shareholdings and intangible assets;
  • VAT audit and harmonisation of accounting documents and flows with the applicable laws and regulations;
  • Implementation of the recommendations provided in tax memoranda, in particular for Luxembourg entities operating in the private equity fund and real estate fund sectors;
  • Preparation and filing of income tax and wealth tax returns;
  • Preparation and filing of periodic and annual VAT returns;
  • Preparation and filing of individual income tax returns (residents and non-residents);
  • Correspondence with the tax authorities regarding the returns filed and follow up on tax assessments;
  • Tax due diligence (direct taxes, capital duty and VAT) in the case of a sale/merger/acquisition.


PRIVATE EQUITY AND REAL ESTATE FUNDS

Active in the private equity sector since its formation, Qualix distinguishes itself from its competitors through its ability to adapt to the organisational challenges and needs of the industry’s players as well as through its own operational efficiency and cost structure. Thanks to its flexibility and modular structure, Qualix provides its services to several major industry players.

Such services can be summarized as follows:

  • General assistance in establishing the structure of Luxembourg companies, including provision of offices and qualified independent directors;
  • Setting up of internal procedures, including assessment of administrative obligations and VAT implications of the intra-group organisation;
  • Selection of an accounting package;
  • Assistance in developing solutions for reporting to fund managers (the “general partners”);
  • Development of secure, efficient solutions with custodians;
  • Training and supervision of the operational team based in Luxembourg, alternately recording of accounting entries and preparation of statutory financial statements;
  • Accounting consolidation;
  • Preparation and filing of income tax and wealth tax returns;
  • Correspondence with the tax authorities regarding the returns filed and follow up on tax assessments;
  • Coordination between the various advisors and parties involved at the time of incorporation of the private equity or real estate fund (SICAR/SIF), in particular with custodians and with the legal and tax advisors responsible for structuring;
  • Assistance with accounting and tax due diligence in the case of new investments, disinvestments and contributions to other structures.

Simplified organisation of your operations in Luxembourg

The importance of properly organizing your operations in Luxembourg has increased as a result of the new economic environment, the implementation of the ATADs, DACs, the requirements for exchange of information and the latest EU regulations on alternative investment fund managers.

Our experience shows that complying with these requirements triggers a number of challenges for the international group headquarters and alternative investment fund managers such as:

  • Office space - Adapting the office space and the allocation of the various offices to a variable number of entities in the current volatile economic environment;
  • Payroll recruiting and staff supervising from abroad, including coping with unplanned dismissals. Managing the need of various levels of experience among your staff pyramid. Managing partially used employees for lack of volume;
  • Cost management - The presence of hidden costs throughout the value chain makes it difficult to manage budgets transparently. Allocating central costs to the various structures can pose challenges to treat investors equally;
  • Quality of work - Monitoring the quality of the work performed in a foreign legal, administrative and accounting environment;
  • Compliance - Making sure that all Luxembourg legal obligations are met;
  • Focus on your core activity - Taking care of the legal secretariat and accounting tasks of your holding/management company so as for your local staff to focus on their core expertise.

In order to answer these needs, Qualix has developed a comprehensive solution to cope with your local requirements. Based on the number and the level of operations required in your various structures, we guarantee a no-surprise fee structure per entity. We fully take charge of the implementation, ongoing maintenance and wind-up of the structures.

Our offering includes:

  • Independent directorship services with experienced Luxembourg-resident directors;
  • Renting of a high quality, fully equipped office space, on flexible conditions, starting with a 1-year term lease;
  • Availability of server space, internet connection and fixed phone line;
  • Hiring of a (part-time) employee for each entity (minimum of 4 hours/week). In case of liquidation of the entity, we will take the employee back on our payroll;
  • Implementation of an outsourced CFO function in order to monitor local budgets, payments of local costs, salaries, etc;
  • Monitoring of the deliverables of the employee by our senior management, including quality review of the statutory financial statements, tax returns and any other reporting or legal deliverable.
