The code must be available to any user of the Odoo database where the modules are installed. If you have a public Website running on that Odoo database, you have to publish the code publicly. If it's a private database used by one of your clients, you only need to give them the code. Of course, they can republish the code publicly if they want (and you can't prevent them by contract, since that violates the license).
